Transaction terms

Version 1. Transactions at or above $25,000 require explicit acceptance of these terms at the booking step. Below that threshold, these terms still govern your conduct on the platform but form on click-through.

DREDGECRED TRANSACTION TERMS — BINDING COMMITMENT Version 1. Effective 2026-04-18. 1. ROLE OF THE PLATFORM DredgeCred (operated by Dredging Marketplace LLC) is a marketplace facilitator. We keep records, route messages, run credibility scoring, and connect counterparties. We do NOT custody funds, hold equipment titles, employ crew, or warrant counterparty performance. Payments flow through Stripe Connect; the platform receives a facilitator fee and is not the merchant of record for the underlying goods or services. 2. FORMATION OF A BINDING COMMITMENT When you accept these terms with a transaction gross amount at or above the binding-commitment threshold (USD $25,000), you form a direct commercial contract with the counterparty named in the transaction. The platform is not a party to that contract. These terms govern only the conduct, evidence, and remedies that pass through the platform. 3. PERFORMANCE + DELIVERY Each party is responsible for the performance agreed in the transaction description. Equipment must be delivered on the dates specified; crew must report as scheduled; supply items must match specification. Material breach — non-delivery, material misrepresentation, substitution without consent — is grounds for the dispute remedy below. 4. PAYMENT + HOLDBACK The platform collects the gross amount via Stripe at acceptance or on the scheduled milestone. Facilitator fees are deducted per the pricing page in force at acceptance. Funds release to the seller on transaction completion, subject to any active dispute. 5. DISPUTES + HOLDBACK WINDOW Either party may raise a dispute within the window defined on /policies/disputes. While a dispute is active, funds are held and the platform may require evidence from both parties. The dispute outcome (resolved for claimant, resolved for respondent, split, or dismissed) is binding on the platform's disposition of the held funds. It does NOT foreclose either party's right to pursue off-platform remedies. 6. CREDIBILITY + RATINGS Both parties agree that a blind two-sided rating will be generated and published on their profiles after transaction completion or dispute closure. Ratings are factual opinion; they are not retractable absent clear evidence of bad faith, and the platform's rating-policy page governs moderation. 7. TAXES + 1099 POSTURE Sellers are responsible for declaring income from platform transactions per local law. Stripe issues 1099-Ks where thresholds apply; the platform does not issue separate tax forms. Buyers are responsible for applicable sales tax and use tax unless expressly transferred to the seller in the transaction description. 8. DATA + CONSENT Your acceptance of these terms creates a consent event logged to the platform audit ledger (timestamp, IP, user agent, terms version, gross amount). This record is retained for contract-enforceability purposes and is excluded from GDPR/CCPA erasure under the "legal obligation" and "legitimate interest" bases. 9. VERSION + AMENDMENT These terms may be updated. Open transactions are governed by the version accepted at the time of acceptance (the version logged in your acceptance row). New transactions require re-acceptance of the then-current version. Amendments to an open transaction require both parties' written consent through the platform messaging surface. 10. GOVERNING LAW + VENUE These terms are governed by the laws of the State of Louisiana, United States, without regard to conflict-of-laws rules. Any dispute between you and Dredging Marketplace LLC arising from these terms is subject to the exclusive jurisdiction of the state and federal courts sitting in Orleans Parish. Disputes between you and a counterparty are between you and that counterparty; the governing law and venue of THAT contract are as stated in the transaction description or, absent such statement, as the parties agree.
